Scotchstone Capital has said it is considering making a possible offer for PTSB, despite owning less than 1% of the Irish bank.
In a brief statement, Scotchstone said there could be “no certainty that any offer will be made or as to the terms on which any offer might be made”.
The statement was made under Rule 2.4 of the Irish Takeover Rules and does not constitute an announcement of a firm intention to make an offer.
PTSB said its board had received no proposal from Scotchstone and had not had any contact with the investment firm regarding a possible offer.
“The announcement by Scotchstone Capital LLP is therefore highly speculative and provides no basis for further consideration,” PTSB said.
The bank said its board remained focused on delivering value and certainty for shareholders while continuing to work with BAWAG PSK to satisfy the remaining conditions of its proposed takeover.
These include the sanctioning of the scheme by the High Court, with a court hearing scheduled for October 27.

BAWAG PSK’s proposed acquisition of PTSB is therefore continuing despite Scotchstone’s announcement.
Scotchstone has not provided details of the potential value or structure of any possible offer.
